This is a legal agreement between you/the Artist, stating the terms that govern your use of the Streo mobile application, services and networks owned or controlled by Streo that allow for the distribution and reception of video, audio, and other content (the "Streo Service"). In this agreement "Streo" refers to the corporate entity Streo Technologies Private Limited as well as its mobile application and other services as the context provides. This agreement - together with all updates, additional terms, software licenses, and all of Streo's rules and policies - collectively constitute the "agreement" between you and Streo. To agree to these terms, click "agree". If you do not agree to these terms, do not click "agree", and do not use Streo. You must accept and abide by these terms as presented to you: changes, additions, or deletions are not acceptable, and Streo may refuse access to the Streo mobile application for noncompliance with any part of this agreement.

Streo and the Artist are hereinafter collectively referred to as the ‘Parties’ and individually as a ‘Party’.

1. About Streo

Streo is a live streaming platform where Users can access and listen to LIVE digital content from venues such as nightclubs, pubs, bars, lounges, concerts, music festivals etc. worldwide featuring the best live artists. Streo Services may be accessible via Internet, cellular phones, IPTv, and other devices capable of receiving and playing digital music.

2. Services

The Artist shall use Streo as a digital platform to stream, transmit, display and make available its content to the users of Streo.

3. Consideration

Streo shall, provided the Artist faithfully performs his/her duties and obligations hereunder for the duration of this Agreement, make available the Artist its platform to display his/her performance to the users of Streo. Streo hereby licenses the Artist to use its trademark, logo and brand for promotional activities.

4. Term

The term of engagement of the Artist’s services hereunder shall begin on the date of your signing up with Streo and continue till the content is available on Streo in accordance with this Agreement.

5. Roles and Responsibilities of the Artist

(a) In the event Streo requests artist to perform/be part of certain activities related to above the line and below the line promotional sales and marketing, Streo shall work with artist to finalize a mutually convenient schedule so that Parties are able to optimize at their own level.

(b) The Artist shall perform as agreed between the Parties.

6. Results and Products

(a) Streo shall at all times be the owner of the app, and the intellectual property rights which includes but not limited to trademark, copyright, patents, trade secret associated with the app.

(b) Streo shall have the right to use and to license the use of Artist's name, sobriquet, pseudonym, photograph, likeness, voice and/or caricature and shall have the right to simulate Artist's voice, signature and appearance by any means in and in connection with the event and the advertising, publicizing, exhibition, and/or other exploitation thereof in any manner and by any means and in connection with commercial advertising and publicity tie-ups.

7. Force Majeure

As used herein the term “force majeure” means epidemic, act of God, strike, lockout, labour condition, unavailability of materials, transportation, power or other commodity, delay of common carrier, civil disturbance, riot, war or armed conflict (whether or not there has been an official declaration of war), the enactment of any law, the issuance of any executive or judicial order or decree, breach of contract by, or disability of, Streo, Artist, breach of contract by a financier or completion guarantor, or other similar occurrence beyond the control of Streo, which causes an interruption of or materially hampers or materially interferes with conditions under this Agreement.

8. Artist’s warranties and obligations

As a material inducement to Streo to enter into this Agreement, the Artist warrants, undertakes and agrees with Streo that:

(a) the Artist is free to enter into this Agreement and grant to Streo all rights and consents specified herein, and is the sole, absolute, unencumbered legal and beneficial owner of all rights of copyright, performers’ property rights and all other rights in the content of its performance;

(b) the Artist is not under any disability restriction or prohibition which might prevent the Artist from rendering to Streo the services envisaged herein or observing any of the obligations of the Act pursuant to this Agreement;

(c) the Artist has not entered and shall not enter into any arrangement that may conflict with his obligations under this Agreement;

(a) Streo shall have the right to use, alter, adapt, change, revise, delete from, add to and/or rearrange the whole or any part of the performance, recordings, photographs and other product of the Artist’s services hereunder and to lengthen, shorten, and/or substitute another Artist in place of the Artist and to combine the same with the whole or any part of any other work to the extent that Streo may desire and in such an event the Artist shall not have any claim for compensation for any reason whatsoever in the form of equitable relief or damages or at all;

(b) the Artist shall not without the consent in writing of Streo reveal or make public any financial or other information relating to the terms of this Agreement or the business of Streo or the concept of the App or issue any publicity or make any statement relating to Streo without the prior written consent of Streo.

(c) The Artist will not speak or publish anything which is derogatory to the goodwill and image of Streo and/or its products.

9. Assignment

Streo shall have the right to assign this Agreement and any of the rights granted herein, in whole or in part, to any person, firm, corporation or entity, and nothing contained herein shall imply anything to the contrary. Upon the assignee’s assumption of the obligations of Streo with respect to the rights so assigned, Streo shall be relieved of all its obligations.

10. System Requirements

Use of the Streo requires a device such as a cellular phone or a computer sytem, with the up-to-date software installed, Internet access (fees may apply), and may require obtaining updates or upgrades from time to time. To use Streo, you must have the necessary hardware equipment and software and the necessary parameters required. Because use of the Streo involves hardware, software, and Internet access, your ability to use the Service may be affected by the performance of these factors. Depending on your network configuration (if protected behind a firewall or proxy), connection to Streo Service may not be possible. High speed Internet access is strongly recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility. You may not attempt, nor support others' attempts, to decrypt, reverse engineer, circumvent or otherwise alter or interfere with any software required for use of Streo. Streo is not responsible or liable in any manner for any difficulties you may have accessing Streo whether technical or otherwise including, without limitation, any effect lack of access or degraded access may have on your score(s), standings or performance.

11. Uploading Your/the Artists Content

Any and all audio, text, photos, pictures, graphics, video, comments, and other content, data or information that you upload, store, transmit, submit, exchange or make available to or via Streo is generated, owned and controlled solely by you and not by Streo. Streo does not claim any ownership rights to your content other than in the license set forth herein, and you hereby expressly acknowledge and agree that your content remains your sole responsibility.

12. Streo Privacy Policy

Information that you provide, as well as certain other information about you, is subject to our Privacy Policy. Except as otherwise expressly provided for in this Agreement, the Service is subject to Streo’s Privacy Policy which is expressly made a part of this Agreement and is designed to help you understand how Streo collects and uses your personal information. By using or accessing Streo, you are accepting the practices described in this Privacy Policy. If you have not already read Streo’s Privacy Policy, you should do so now.

13. Remedies

(a) It is understood that Artist’s services are special, unique, unusual, extraordinary and of an intellectual character, giving them a peculiar value which cannot be compensated in monetary terms or damages, Streo is entitled to seek equitable relief against Artist in respect of performance of Artist’s obligations hereunder.

(b) Artist understands that his/her services are unique and special and cannot, therefore, be substituted or delegated to another. Artist further understands that in case Artist’s absence from, or neglect to, perform his/her services hereunder, Streo is likely to suffer monetarily as a result of the loss of time, effort and money invested in arranging for transmitting or displaying the services of Artist.

(c) Without waiving any of Streo’s rights or remedies under this Agreement or otherwise, Streo may from time to time record by action, any damages arising out of any breach of this Agreement by Artist, and may institute and maintain subsequent actions for additional damages which may arise from the same or other breaches. The commencement or maintaining of any such action or actions by Streo shall not constitute an election on Streo’s part to terminate this Agreement nor constitute or result in termination of Artist’s employment hereunder unless Streo shall expressly so elect by written notice to Artist.

14. Notices

(a) Any notice required to be given to Streo or Artist under the agreement shall be in writing and served upon the addressee at such address as set out on or as may be notified to the other party in case of change of address by any one of the parties.

(b) All such notices shall be sent by prepaid first class mail or by personal delivery or by facsimile, or e-mail. Notices shall be deemed to have been given if delivered by hand, facsimile or e-mail at time of delivery and if posted 48 hours (excluding the hours of Saturdays, Sundays and bank and public holidays in the country in which Streo's registered office is located).

15. Miscelleneous

(a) The agreement sets forth the entire agreement between the parties at the date thereof relating to Artist’s services in connection with the Show and supersedes any prior agreement or arrangements (whether oral or in writing) between the parties in connection with the services contemplated herein. No modification to this Agreement shall take effect unless made in writing and signed by both parties.

(b) No waiver, express or implied, by either party of any breach by the other of any of the provisions of the agreement shall operate as a waiver of any preceding or succeeding breach of the same or any other provision of the agreement.

i. The Artist and/or its representatives shall not disclose any of the Confidential Information in any manner whatsoever, except as provided in this Agreement, and shall hold and maintain the Confidential Information in strictest confidence.

ii. The Artist hereby agrees to indemnify Streo against any and all losses, damages, claims, expenses, and attorneys' fees incurred or suffered by Streo as a result of a breach of this Agreement by the Artist and/or its representatives.

17. Arbitration and Dispute Resolution

In case of any dispute or difference, Streo and the Artist shall first attempt to settle the said dispute diligently through the process of Conciliation for a period of 30 (Thirty) days, failing which such dispute/difference shall be referred to Arbitration in accordance with and subject to the provisions of the Arbitration and Conciliation Act, 1996 as modified and amended from time to time. Streo shall appoint a sole arbitrator to resolve the dispute amicably and his/her order, decree or judgment regarding any dispute/difference is binding as per the provisions of the aforementioned Act. The venue of such Arbitration shall be New Delhi and the language will be English.

18. Termination

Streo may terminate this Agreement immediately without any liability whatsoever in the event of any material breach of this Agreement by the Artist.

19. Jurisdiction

(a) This Agreement shall be interpreted in accordance with the laws of India.

(b) Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by the Courts in New Delhi.
